Die ekonomiese gevolge van die maatre\u00ebls wat ingestel is om die verspreiding van COVID-19 te bekamp veroorsak toenemend finansi\u00eble nood by baie ondernemings en dwing hul om hul opsies te ondersoek. Hoofstuk 6 van die Maatskappywet bied die moontlikheid van sakeredding as \u2018n alternatief vir likwidasie.<\/div>\n<div><\/div>\n<div class=\"p-rich_text_section\">Sakeredding is &#8216;n proses wat op finansi\u00eble rehabilitasie van &#8216;n onderneming gemik is, en kan \u00f3f vrywillig (deur &#8216;n direksiebesluit by CIPC in te dien) of deur &#8216;n hofbevel begin word. In &#8216;n neutedop is die belangriskte vereistes:<\/div>\n<ul class=\"p-rich_text_list p-rich_text_list__bullet\" data-stringify-type=\"unordered-list\" data-indent=\"0\">\n<li>dat die onderneming in finansi\u00eble nood moet wees, (n.l. dit blyk redelik onwaarskynlik te wees dat die maatskappy al sy skuld sal kan betaal soos dit betaalbaar raak in die daaropvolgende ses maande of daar is \u2018n redelike vooruitsig dat die maatskappy binne die daaropvolgende ses maanse insolvent gaan wees), en<\/li>\n<li>dat daar &#8216;n redelike vooruitsig moet wees dat die maatskappy gered kan word.<\/li>\n<\/ul>\n<div class=\"p-rich_text_section\">Die Wet maak voorsiening dat geaffekteerde persone aansoek aan die hof mag doen om die sakeredding ter syde te stel, onder andere op grond daarvan dat die onderneming nie aan die bogenome vereistes voldoen nie.<\/div>\n<div><\/div>\n<div class=\"p-rich_text_section\">As die sake-reddingsverrigtinge, soos in meeste gevalle, by wyse van \u2018n direksiebesluit begin word, is daar streng kennisgewingsvereistes waaraan voldoen moet word. Binne vyf dae na die indiening van die resolusie by CIPC moet daar kennis gegee word aan elke persoon wat deur die besluit geraak word. Dit sluit aandeelhouers, krediteure en werknemers (deur middel van &#8216;n geregistreerde vakbond of verteenwoordiger) in. Die direksie moet ook &#8216;n sakereddingspraktisyn aanstel, wie daarmee getaak word om toesig te hou oor die bestuur van die onderneming, en alhoewel die direkteure nie vervang word nie, word hul aan die gesag van die daardie praktisyn onderwerp. Die prim\u00eare funksie van die sakereddingspraktisyn is om &#8216;n reddingsplan op- en in werking te stel. Daardie plan moet deur &#8216;n 75% van die maatskappy se krediteure wat op die plan stem goedgekeur word.<\/div>\n<div><\/div>\n<div class=\"p-rich_text_section\">Een van die belangrikste gevolge van sakeredding is dat die maatskappy &#8216;n tydelike moratorium \u2013 &#8216;n asemhalingsruimte \u2013 gegun word ten opsigte van regstappe wat teen hul geneem word en dat die sakereddingspraktisyn ook sekere kontrakte mag opskort. Die doel daarvan is om vir die maatskappy \u2018n geleentheid te gun om, deur middel van die sakereddingspraktisyn, sy sake te herorganiseer om sodoende weer lewensvatbaar te word.
